Terms of Service

1. Acceptance of Terms

By accessing or using the BookWell platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you may not use the Service. These Terms constitute a legally binding agreement between you and BestAI Labs Ltd ("we", "us", "our"), a company registered in New Zealand.

2. Service Description

BookWell is a software-as-a-service (SaaS) platform that provides online appointment booking, scheduling management, and notification tools designed for health and wellness clinics operating in New Zealand. The Service includes a web-based dashboard, an embeddable booking widget, and integrations with third-party services such as Stripe for payments and Telegram for notifications.

3. User Accounts

To use the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised use of your account.

You must be at least 18 years of age to create an account. By creating an account, you represent and warrant that you have the authority to bind the clinic or business on whose behalf you are registering.

4. Subscriptions and Billing

BookWell offers multiple subscription tiers. Paid subscriptions are billed monthly or annually in advance via Stripe. All prices are in New Zealand Dollars (NZD) and include Goods and Services Tax (GST) at the prevailing rate.

You authorise us to charge your designated payment method for recurring subscription fees. You may change your plan or cancel your subscription at any time from your dashboard. Cancellation takes effect at the end of the current billing period.

We reserve the right to change pricing with at least 30 days' notice. Any price change will take effect at the start of your next billing cycle following the notice period.

5. Free Trial

New accounts may be eligible for a 30-day free trial that provides full access to paid plan features. No credit card is required to start a trial. At the end of the trial period, you may choose to subscribe to a paid plan or your account will be automatically transitioned to the free Starter plan with reduced feature access.

6. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data, including health information. You acknowledge that you are responsible for obtaining any necessary consents from your clients before collecting and storing their personal or health information through the Service.

7. Intellectual Property

The Service, including all software, design, text, graphics, and other content, is owned by BestAI Labs Ltd and is protected by New Zealand and international intellectual property laws. You retain ownership of all data you input into the Service. We grant you a limited, non-exclusive, non-transferable licence to use the Service for the duration of your subscription.

8. Limitation of Liability

To the maximum extent permitted by New Zealand law, BestAI Labs Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or related to your use of the Service.

Our total aggregate liability for any claims arising from or relating to the Service shall not exceed the total amount paid by you to us in the twelve (12) months preceding the claim. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under New Zealand law, including under the Consumer Guarantees Act 1993 where applicable.

9. Termination

You may terminate your account at any time by contacting us or through your dashboard settings. We may suspend or terminate your account if you violate these Terms or if required by law. Upon termination, your right to use the Service ceases immediately. We will retain your data for a period of 30 days following termination, after which it will be permanently deleted unless a longer retention period is required by law.

10. Refund Policy

If you cancel a paid subscription, you will retain access to paid features until the end of your current billing period. We do not provide pro-rata refunds for partial billing periods.

If you believe you have been incorrectly charged or are experiencing a technical issue that prevents you from using the Service, please contact us within 14 days. We will review refund requests on a case-by-case basis and may issue a full or partial refund at our discretion.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of New Zealand. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of New Zealand.

12. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or through the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
